By accessing or using Prome Engine, you agree to these Terms of Service on behalf of yourself and, if applicable, the business you represent. If you do not agree, do not use the service. If you accept these Terms for an organization, you confirm that you have authority to bind it.
2. Description of Prome Engine
Prome Engine is an AI-powered advertising and global trade growth management platform developed and operated by 杭州意动智生科技有限公司 (English translation for reference: Hangzhou Yidong Zhisheng Technology Co., Ltd.), operating under the Revopanda brand. It may support authorized advertising account management, campaign and creative workflows, performance reporting, lead synchronization, CRM connections, and AI-assisted planning.
3. Eligibility and Business Use
The service is intended for lawful business use. You must have legal capacity to enter into these Terms and must use the service for an organization you own, work for, or are lawfully authorized to represent.
4. User Accounts and Security
You must provide accurate account information, protect login credentials, limit access to authorized personnel, and promptly report suspected unauthorized use. You are responsible for activity under your account unless applicable law provides otherwise.
6. Advertising Instructions and User Approval
You control your advertising objectives, content, products, target markets, budgets, and instructions. Actions that publish, pause, or materially modify advertising, or that incur budget spend, must be confirmed by an authorized user before execution. You are responsible for reviewing each action and maintaining suitable approval controls.
7. AI-Generated Recommendations
AI output may include campaign plans, creative suggestions, translations, audience ideas, analysis, and operational recommendations. These outputs are assistance, not a substitute for business, legal, compliance, or professional judgment. AI output may be incomplete or inaccurate. You must review it before use, especially before publishing advertising or spending funds.
8. User Responsibilities
You are responsible for your advertising content, claims, product qualifications, licenses, target markets, budgets, instructions, landing pages, lead handling, and compliance with applicable laws and platform policies. You must obtain the notices, permissions, and consents needed to collect and use customer or lead data.
9. Prohibited Uses
You must not use Prome Engine to create or distribute unlawful, deceptive, fraudulent, infringing, discriminatory, harmful, or platform-prohibited advertising. You must not bypass access controls, interfere with the service, probe for vulnerabilities without written permission, introduce malicious code, misrepresent identity or authority, or use data outside the purpose for which it was lawfully obtained.
10. Customer and Lead Data
You retain your rights in data you lawfully provide or connect. You grant us the limited rights needed to host, process, transmit, and display that data to provide the service and follow your authorized instructions. You must ensure that customer and lead data was collected lawfully. Our handling of personal information is described in the Privacy Policy.
11. Intellectual Property
Prome Engine, its software, interface, documentation, and Revopanda branding are owned by the operator or its licensors and are protected by applicable intellectual property laws. Except for the limited right to use the service under these Terms, no rights are transferred to you. You retain ownership of your content, subject to third-party rights.
12. Third-Party Platforms and APIs
Connected platforms control their own APIs, reviews, features, access permissions, availability, and policies. They may change or discontinue them at any time, which may limit or interrupt Prome Engine features. Prome Engine is not an official product of TikTok, Meta, or any other advertising platform. TikTok, Meta, and other names and trademarks belong to their respective owners.
13. Fees and Payment
Fees, billing dates, taxes, payment terms, and any refund rights will be stated in the applicable written order, subscription, invoice, or other agreement. These Terms do not create pricing, refund rights, or service commitments that are not stated in an applicable written agreement or required by law.
14. Service Availability and Changes
We may maintain, modify, suspend, or discontinue parts of the service. We do not promise uninterrupted or error-free availability. Third-party outages, policy changes, account reviews, and API restrictions may affect features. Where reasonably possible, we will provide notice of material changes that adversely affect active customers.
15. Disclaimer of Warranties
To the extent permitted by law, Prome Engine is provided on an "as is" and "as available" basis. We disclaim implied warranties that may lawfully be disclaimed. We do not guarantee advertising approval, delivery, impressions, leads, orders, revenue, profit, or any particular business result.
16. Limitation of Liability
To the extent permitted by law, neither party will be liable for indirect, incidental, special, punitive, or consequential loss arising from the service. Any additional exclusion or financial limit will be governed by applicable law and a written agreement between the parties. Nothing in these Terms limits liability that cannot lawfully be limited.
17. Indemnification
To the extent permitted by law, you will defend and indemnify the operator against third-party claims arising from your advertising, products, unlawful data collection, breach of these Terms, violation of platform policies, or infringement of another person's rights. This obligation is subject to prompt notice and reasonable control of the defense.
18. Suspension and Termination
We may suspend access where reasonably necessary to address security risk, unlawful activity, nonpayment under an applicable agreement, platform restrictions, or a material breach of these Terms. Either party may terminate as allowed by its written agreement or applicable law. On termination, connected access will end and data will be handled under the Privacy Policy and any applicable agreement.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of mainland China, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or Prome Engine shall be submitted to the people's courts with competent jurisdiction in Binjiang District, Hangzhou, Zhejiang Province, People's Republic of China, except where mandatory law requires otherwise.
20. Changes to These Terms
We may update these Terms to reflect changes to the service, law, or business operations. We will post the revised Terms and update the Last Updated date. If a change materially affects your rights, we will provide additional notice where required. Continued use after the effective date of revised Terms constitutes acceptance where permitted by law.
